Terms of Service

Introduction

Welcome to Trellis, a video recording and sharing platform designed specifically for fitness coaches and professionals. Trellis provides tools for screen recordings, video management, AI transcription, and secure sharing to support personalized coaching.

These Terms of Service ("Terms") govern your access to and use of the Trellis website (https://trellis.fit), applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

If you do not agree to these Terms, do not use the Service.

Eligibility

To use the Service, you must be at least 18 years old and capable of forming a binding contract. The Service is intended for professional fitness coaches and related users. By creating an account, you represent that you meet these eligibility requirements and that all registration information is accurate and complete.

Account Registration and Security

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it as needed.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@trellis.fit of any unauthorized use.

Subscriptions and Payment

Plans

Trellis offers paid subscriptions:

• Monthly Plan: $20 per month, paid monthly in advance.
• Annual Plan: $180 per year, paid annually in advance (equivalent to $15 per month).

Subscriptions provide access to core features, including shareable screen recordings, video management, multi-workspace support, privacy controls, AI transcription, video analysis, automatic titles/chapters/summaries, recommended exercises or metadata, and generated thumbnails or overlays.

Billing and Payment

Payments are processed through our third-party payment provider. You authorize us to charge your chosen payment method on a recurring basis. You are responsible for all applicable taxes.

If payment fails, we may suspend your access until resolved.

Auto-Renewal

Subscriptions automatically renew for the same term (monthly or annual) unless you cancel before the renewal date.

Cancellation and Refunds

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period.

We do not provide prorated or partial refunds for cancellations mid-period. No refunds for payments already processed.

Changing Plans

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately (with prorated charge if applicable). Downgrades take effect at the next renewal.

Changes to Plans or Pricing

We may modify plans, features, or pricing with advance notice (e.g., via email or in-app). Changes apply to your next renewal period.

License and Use of the Service

Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal fitness coaching purposes.

You may not:

• Reverse engineer, modify, or create derivative works of the Service.
• Rent, sell, or sublicense the Service.
• Use the Service for unlawful purposes or in violation of third-party rights.
• Interfere with the Service's operation or security.

AI Features

The Service includes AI-powered tools such as transcription, video analysis, automatic generation of titles, chapters, or summaries, recommendations for exercises or metadata, and creation of thumbnails or overlays. These features are provided to enhance coaching efficiency but are not guaranteed to be accurate or suitable for all uses. You are responsible for reviewing and verifying all AI outputs.

User Content and Video Privacy

You retain ownership of content you upload, record, or share ("User Content"), including videos, screenshots, and transcriptions.

By uploading User Content, you grant Trellis a worldwide, royalty-free, sublicensable license to host, store, display, transcribe, analyze, and distribute it as needed to provide the Service (e.g., sharing links, AI processing).

You are solely responsible for your User Content. You represent that it does not infringe third-party rights and complies with our Acceptable Use Policy.

You must obtain all necessary consents and permissions from individuals appearing in or affected by your User Content, including for recording, storage, and sharing videos, in compliance with applicable laws (e.g., consent requirements under privacy regulations in your jurisdiction).

We may remove User Content that violates these Terms.

Intellectual Property

Trellis and its features are owned by us or our licensors. All brand elements, software, platform components, interface designs, recording technology, AI models, logos, trademarks, and branding remain our exclusive property.

You receive no rights except the limited license above. You may not copy, resell, distribute, or create derivative works from any part of the Service.

Privacy and Data Protection

Your use is governed by our Privacy Policy, which explains how we handle your data, including videos and personal information.

We comply with applicable data protection laws, including:

• For users in the European Union (EU/EEA): The General Data Protection Regulation (GDPR), providing rights such as access, rectification, erasure, restriction, portability, and objection.
• For users in California, USA: The California Consumer Privacy Act (CCPA/CPRA), providing rights such as knowing, deleting, opting out of sales/sharing, and limiting sensitive data use.
• For users in Australia: The Privacy Act 1988 and Australian Privacy Principles (APPs), including rights to access and correct personal information.

To exercise your rights, contact support at trellis.fit. We will respond in accordance with applicable laws.

Third-Party Services

The Service may integrate with or link to third-party services (e.g., payment processors, analytics tools). These are governed by their own terms and privacy policies. We are not responsible for third-party services.

Service Availability

The Service is provided on an "as available" basis. We strive for high uptime but do not guarantee that the Service will be uninterrupted, error-free, or always accessible. Maintenance, updates, or external factors may cause downtime.

Prohibited Activities

Your use must comply with our Acceptable Use Policy, incorporated here by reference.

In addition, you must not upload, share, or generate content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy.
• Contains explicit sexual content, nudity, pornography, or material harmful to minors.
• Promotes violence, discrimination, hate speech, or illegal activities.
• Infringes copyrights, trademarks, or other intellectual property.
• Contains malware, spam, or deceptive material.
• Impersonates others or misrepresents affiliations.

We reserve the right to review and remove violating content.

Termination

We may suspend or terminate your access immediately, with or without notice, if:

• You violate these Terms or the Acceptable Use Policy.
• You misuse the Services.
• Required by law or legal process.
• System integrity, security, or safety is at risk.

Upon termination:

• Your license to use the Services ends immediately.
• Access to your account and stored content may be revoked or removed.
• We may retain your data as required by law or for legitimate business reasons (e.g., dispute resolution).

You may terminate your account at any time by canceling your subscription.

Disclaimer of Warranties

The Services are provided "as is" and "as available", without warranties of any kind, express or implied.

We do not guarantee that:

• Recordings or uploads will always succeed without issues.
• AI outputs (including analysis, summaries, recommendations, or thumbnails) will be accurate, complete, or error-free.
• The Services will meet your specific fitness coaching or business needs.

You use the Services at your own risk.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

• Loss or corruption of your recordings, content, or data.
• Loss of revenue, business opportunities, profits, or goodwill.
• Any injury or harm resulting from improper use of AI-generated fitness guidance or recommendations.
• Any indirect, incidental, consequential, special, or punitive damages.

Our total liability for any claim is limited to the amount you paid us in the 12 months prior to the claim.

Indemnification

You agree to indemnify and hold Trellis harmless against claims arising from your User Content, use of the Service, AI outputs you rely on, or violations of these Terms.

Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance. Significant changes will be notified in advance via email or in-app.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.

Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, USA. You consent to personal jurisdiction and venue in these courts.

If you are located in the EU or Australia, mandatory local consumer protection laws may apply notwithstanding this clause.

Miscellaneous

These Terms constitute the entire agreement. If any provision is invalid, the rest remains effective.

No waiver of rights unless in writing.
